TERMS AND CONDITIONS OF MEMBERSHIP AND USE

1.  Definitions

1.1  The Agency shall mean Kids No Object (incorporating Partners for Parents) Dating Website and Introduction Agency.

1.2  A Member shall be any person who is eligible for membership of the Agency, has paid an enrolment fee as referred to in Condition 2.1.4, and has been accepted by the Agency for membership.

1.3  A User shall be any person who is not a Member and browses the Website.

1.4  "You", "Your" and "Yourself" means any person who applies for membership of the Agency, or has been accepted by the Agency for membership,

1.5  "We", "Us" and "Our" means Kids No Object (incorporating Partners for Parents) Dating Website and Introduction Agency.

1.6  The "Website" means Our Website at URL www.kno.org.uk (or any other URL that We may use to provide the Service).

1.7.  "Post" means display, exhibit, publish, distribute, transmit and/or disclose information on or in connection with the Service, and the phrases "Posted" and "Posting" shall be constructed accordingly. 

1.8  The "Service" means the Service provided by Us toYou including, but not limited to, Us allowing You to browse the Website, contact and/or be contacted by other Members through the Website or via any alternative methods of contact You have provided and agreed can be used by Us and other Members, and/or Post Information on the Website.

1.9  "Information" includes without limit all content, software, data, text, photographs, and graphics.

1.10  "Profile" means the section of the Service containing details, photographs, and/or other Information about You and other Members.

1.11  "Agreement" means these Terms and Conditions.

2.  Membership Conditions

2.1  By applying to the Agency for membership, You warrant and represent to Us that:

2.1.1  You are unattached, over 18 years of age, and single, separated, divorced or widowed.

2.1.2  You have no convictions for offences of a sexual nature (including spent convictions), and You are not listed on the Register of Sexual Offenders.

2.1.3  You consent to Your personal details being checked for sexual offences and against the Register of Sexual Offenders.

2.1.4  You will pay an enrolment fee for membership as stated on Our Website at the time of joining.  Payment shall not be deemed to be made until We have received either cash or cleared funds in respect of the full amount outstanding.

2.1.5  You agree that We have the right and absolute discretion to refuse membership to any person without giving a reason.  If We decline to accept Your application for membership, then We shall refund Your membership fee.

2.1.6  You agree that if You are accepted as a Member by Us and You have commenced using the Service by logging in to your account, any membership fees paid are not refundable under any circumstances.

2.1.9 You agree that other Users and Members will be able to view Your Profile.

2.1.10  You agree that contacts and meetings between You and other Members are at the absolute discretion of You and the Members themselves.  We will not become involved in this process, and We accept no responsibility or liability for any Members making contact or meeting with You, or when they do so.

2.1.11  You agree that We may copy and/or reproduce any Information Posted by You on the Website in any form and in any manner We wish.

2.1.12  You agree that if You Post and/or disclose to other Users or Members any confidential or sensitive Information about Yourself then You do so at Your own risk.

2.1.13  You warrant and represent to Us that all Information Posted by You is accurate, true, and not mis-leading, and will be regularly up-dated by You so that it remains accurate, true, and not mis-leading.

2.1.14    You agree that We have the right to review Your account, Your messages, Your Profile and photographs at any time, and to amend/delete them if We, in Our absolute discretion, think that they should be amended and/or deleted.

2.1.15  You agree to allow Us to release any alternative contact details (CallSafe or Voicemail numbers) that You have opted to be provided to non-internet Members, and also to display them to paid internet Members.

2.1.16  You agree to be bound by these Terms and Conditions.

2.2  The Agency may, at any time, and in its absolute discretion, revoke, add to, or alter these Terms and Conditions, and You agree to be bound by the updated version. 

2.3.  If You are not able or not willing to give the warranties and representations set out in Clause 2.1 above, then You must not apply for membership.

3.  Functioning of the Service

3.1  The Service is provided in its current form, and We do not guarantee or warrant that the Service, or any part of the Service will meet Your requirements, purpose and/or expectations.

3.2  We do not guarantee or warrant that any of the Information provided in or via the Service is accurate.  You rely on it at Your own risk.

3.3.  Due to the nature of the internet, We do not provide any warranty or guarantee in respect of the Service regarding availability, and/or uninterrupted use of the Service, except that We will use Our reasonable endeavours to rectify serious faults as soon as practical though not within any particular timescale.

3.4  We reserve the right to suspend the Service without notice for repair, maintenance or any other technical reasons.

3.5  We reserve the right to modify, extend, or make changes to any aspect of the Service if, in Our absolute discretion, We consider such changes to be of benefit to Members, or in the interest of other Members.

4.  Use of the Service

4.1  The Website is simply a forum for Members to Post Information about themselves and to allow You to make contact with other Members if You choose to do so.

4.2  You should not assume that the Information contained in any Member& rsquo s Profile is necessarily correct and accurate.  We do not make any representation or warranty that the Information contained in any Member's Profile is accurate and, before acting on any Information contained in any Member's Profile or on any Information received by You through Your use of the Service, You should, at Your own expense, carry out such investigation as You think is necessary to satisfy Yourself of the truth and accuracy of such Information.

4.3  If You arrange any meetings with any person through Your use of the Service, then You do so at Your own risk.  We accept no responsibility or liability for the conduct or actions of any of Our past or present Members.  You should take reasonable precautions to ensure Your safety.

4.4  You must comply with Our instructions concerning use of this Service.

4.5  We are entitled to delete messages stored on the Service after the period stated on the Website, or immediately upon exercising any right to suspend or terminate Your membership.  It is Your responsibility to store independently any messages that You want to keep.

5.  Members' Obligations

5.1.  You will not:

5.1.1  Post Your personal details such as Your surname, telephone or mobile numbers, fax number, postal address, and/or e-mail address or URL in Your Profile or on any other area of the Website, or any other Information, which would enable unauthorised Members or Website browsers to contact You directly.

5.1.2  Post any Information or send any messages to other Members which breaches, infringes, violates and/or is contrary to law, promotes another website, service and/or business, solicits other Members' business, advertises, or attempts to buy or sell goods or services through the Service.

5.1.3  Post any Information or send any messages to other Members which, in Our opinion, is sexually explicit, obscene, vulgar, indecent, racist, abusive, an invasion of privacy, offensive, threatening, harassing, inflammatory, sexually suggestive, junk mail or spam, chain letters, promoting pyramid schemes or any similar or fraudulent schemes, or is capable of offending others' political or religious beliefs.

5.1.4  Mis-use in any way the Service, or any Information Posted on the Service, or attempt to gain unauthorised access to any Information available on or via the Service, or to any of the networks used to provide the Service.

5.1.5  Reproduce or copy the Service in part or in whole in any way, including but not limited to, Information, text, logos, graphics or photographs in our printed brochure or on Our Website, including, but not limited to, Information or photographs contained in other Members' Profiles, and You acknowledge that We reserve the right to take immediate legal action against You regarding any perceived infringement of this Obligation.

5.1.6  Divulge Your Member ID, password or activation code to any other individual.  This Information is not transferable, and You are responsible for keeping them secure and for any use of the Service including any activities by anyone using Your ID, password or activation code.

5.1.7  Allow unauthorised access toYour computer, and ensure that You sign off when using Your own or shared computer before leaving the Website.

5.2  You must:

5.2.1 Notify Us in writing immediately if You become aware of any inappropriate behaviour in connection with the Service.

5.2.2  Notify Us immediately of any apparent breach of security such as loss, theft, or unauthorised disclosure of Your ID, password or activation code, and immediately amend Your password using the Service.

5.2.3  Notify Us every 3 months that You wish to remain an active Member if You have purchased 12 months plus free No-Time-Limits membership.

5.2.4  Notify Us every 3 months that You wish to remain an active Member if You are an existing paper-based member who has activated Your membership online.

6.  Cancellation / Termination / Suspension

6.1  You may terminate Your Membership at any time, upon giving Us notice by e-mail, or by cancelling Your Membership via the facility in Your Account online.  In such case, You will not be entitled to reinstate Your Membership, and you will not be entitled to any refund of monies paid, including any unused periods of membership purchased.

6.2  If You have purchased 12 months plus free No-Time-Limit membership, or are an existing paper-based member who has activated Your membership online, You may suspend Your membership for up to 180 days at any one time.  If suspension of Your membership exceeds this period, Your membership will automatically be terminated.  You may not suspend Your membership if You have purchased any other level of membership.

6.3.  We may terminate Your membership at any time, without refunding Your membership fee, upon giving You notice by e-mail for the following reasons:

6.3.1 You breach the terms of this Agreement.

6.3.2  You fail to provide Us within the time limit requested by Us with sufficient Information to enable Us to determine the accuracy and/or validity of any Information Posted by You.

6.3.3  If, in Our absolute discretion, We consider that any Information Posted by You is untruthful, or damaging or potentially damaging to Our business or Members.

6.3.4  In the event that We receive a complaint from another Member that, in Our absolute discretion, We consider to be justified.

6.3.5  In the event that We receive information from any third party that leads Us to believe, in Our absolute discretion, that You are unsuitable for membership.

6.5  Your agreement to abide by these Terms and Conditions continues for so long as You are a Member, and also continues after either You or We have terminated Your membership.

7.0  Intellectual Property Rights and Third Party Websites

7.1.  All Intellectual Property Rights in connection with the Service shall be owned by Us absolutely.

7.2  You may link to the Service, but You or any User may not reproduce or copy the Service in part or in whole in any way, or include the Service in part or in whole within another website without Our prior written consent.

7.3  We may link to third party websites, but We do not endorse or recommend such websites, and You must satisfy Yourself that any goods or services referred to thereon are suitable for Your requirements.

8.0  Liability

8.1  We shall have no liability for any defect in the Service caused or contributed to by You and/or any other Member or User.

8.2  We shall have no liability to You to arising out of Your use of the Service and/or Your reliance on any Information Posted by other Members.

8.3  We shall have no liability to You if other Members or Users or unauthorised Users obtain and misuse Information about You and/or other Members as a result of Your use of the Service.

8.4  We shall have no liability to You for any consequential, special or indirect losses, economic and/or other similar losses (including, without limit, loss of revenues, profits, contracts, business, damage to or loss of goodwill or reputation, or data).

8.5  We shall have no liability to You for any delay in performance of this Service, and/or any other matters that are due to any events outside Our reasonable control.

8.6.  This section (and any other clause excluding Our liability) applies to Our Partners, employees, sub-contractors, and agents as well as to Us.

9.0  Indemnity

9.1  You agree to indemnify and keep Us indemnified against any and all losses, proceedings, lost profits, expenses, costs (including increased administration costs and legal costs on a full indemnity basis), actions and any other losses and/or liabilities suffered by Us and arising from and/or relating to Your use of the Service, Information and/or other material Posted on or via the Service by You and/or arising from or due to a breach of contract, any tortious act and/or omission and/or any breach of statutory duty by You.

10.0  General

10.1  No waiver by Us of any breach of this Agreement shall be considered as a waiver of any subsequent breach of the same provision or any other provision.

10.2  This Agreement contains the entire Agreement between You and Us.  If any provision of this Agreement is found by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of this Agreement and the remainder of the affected provision shall be unaffected and shall remain in full force.

10.3  We may assign all or parts of Our rights or duties under this Agreement You may not do so without Our prior written consent.

10.4  This Agreement is governed and interpreted in accordance with English law and the parties agree to the exclusive jurisdiction of the English courts.
